I have helped many clients start small businesses. There are
hundreds of regulations and things to consider when starting a
small business. Most of the businesses that I have assisted have
been Taverns, or Class B Licensed establishments, and
Restaurants. As an Attorney I start by helping to obtain a liquor
1 license, which leads to issues concerning leases, or purchasing
real estate. Typically small businesses incorporate, operate as
Limited Liability Corporations, or sole proprietorships. Once
the business entity is selected ALO will draft and create
corporate by-laws, stock certificates and shareholder
agreements. In the case of a Limited Liability Corporation an
operating agreement has to be created. I have also helped
clients in developing business plans for financing requirements,
and other government regulations.
I take the basic approach that it is my job to help the business
in any way that I can. I have a very creative mind, and often
provide ideas that are profitable. At certain times I can advise
the client as to the type of business entity they should use. This
mind, and often provide ideas that are profitable. At certain
times I can advise the client as to the type of business entity
they should use. This may be a Limited Liability Corporation,
or a closely held corporation i.e. less than 50 shareholders.
I have experience in advising contractors and builders. I have
drafted employment agreements, and I have experience in the
proper filing of mechanic's liens to ensure that the client's
receivables would be paid. The filing of a lien on a property
deed has to be done very precisely and pursuant to Wisconsin
Statute Chapter 799 which requires that the statute by precisely
followed, or the client would lose the ability to file a lien. If
you ever have any question concerning the proper filing of a
lien you should contact Attorney Andrew Arena as soon as
possible.
